To standardize the on-time delivery management of the Sinoali B2B Foreign Trade Steel Platform (hereinafter referred to as the "Platform"), ensure the smooth performance of cross-border steel transactions, protect the legitimate rights and interests of both buyers and sellers (hereinafter collectively referred to as "Transaction Parties"), maintain a fair and orderly trading environment, and enhance the credibility of the Platform and transaction efficiency, these rules are formulated in accordance with relevant national laws and regulations, international trade practices, and the Platform's relevant operating rules.
These rules apply to all delivery-related matters arising from steel trading activities carried out by Transaction Parties on the Platform. By signing transaction orders, performing delivery obligations, or using the Platform's delivery-related services, the Transaction Parties are deemed to have fully read, understood and voluntarily abided by all the provisions of these rules, and voluntarily assumed corresponding rights and obligations.
I. General Principles of On-Time Delivery
1. Compliance Principle: All delivery behaviors shall comply with the laws and regulations of the countries/regions where the Transaction Parties are located, as well as the relevant provisions of international trade, customs supervision, and logistics management, and shall not violate the Platform's operating rules and the transaction agreements signed by both parties.
2. Contract-Oriented Principle: The seller shall strictly perform the delivery obligation in accordance with the delivery time, delivery location, delivery method and other relevant agreements stipulated in the transaction order, and ensure that the delivery behavior is consistent with the agreed terms.
3. Integrity and Responsibility Principle: The seller shall Adhering to the principle of integrity, take full responsibility for on-time delivery, make reasonable arrangements for production, packaging, customs declaration and logistics in advance, and avoid delayed delivery without justifiable reasons.
4. Transparent and Communicative Principle: The seller shall timely inform the buyer of the production progress, packaging status, logistics information and other relevant matters related to delivery, and maintain effective communication with the buyer to promptly resolve potential problems affecting on-time delivery.
II. Obligations of the Seller
1. The seller shall, in accordance with the transaction order agreement, complete the preparation of goods, packaging, inspection and other related work before the agreed delivery time, and ensure that the goods meet the quality and specification requirements agreed in the order.
2. The seller shall arrange compliant and reliable logistics services in advance, complete customs declaration, inspection and other relevant procedures in accordance with regulations, and ensure that the goods are shipped on time as agreed.
3. After the goods are shipped, the seller shall promptly update the logistics information on the Platform, provide the buyer with relevant delivery documents, and notify the buyer of the shipment status in a timely manner.
4. The seller shall actively monitor the logistics progress, and promptly coordinate and handle any abnormal situations that may affect the on-time arrival of the goods.
III. Rights of the Buyer
1. The buyer has the right to require the seller to perform the on-time delivery obligation in accordance with the transaction order agreement.
2. The buyer has the right to inquire about the delivery progress, logistics status and other relevant information from the seller at any time, and the seller shall respond truthfully and timely.
3. If the seller fails to deliver the goods on time without justifiable reasons, the buyer has the right to handle it in accordance with the transaction order agreement and the Platform's relevant rules, including but not limited to applying for compensation, terminating the order, or applying for Platform intervention.
IV. Exceptions to Delayed Delivery
Delayed delivery shall not be deemed a breach of contract if it is caused by force majeure, policy adjustments, unforeseeable and unavoidable objective factors, or other reasons agreed by both parties in the transaction order.
In case of the above-mentioned circumstances that may lead to delayed delivery, the seller shall promptly notify the buyer of the relevant situation and the expected delayed time, provide relevant supporting materials, and negotiate with the buyer to reach a consensus on follow-up handling measures.
V. Supervision and Handling of On-Time Delivery
1. The Platform will supervise the seller's on-time delivery performance based on transaction records, logistics information and buyer feedback, and establish a corresponding evaluation mechanism.
2. If the seller fails to deliver the goods on time without justifiable reasons, the Platform will take corresponding regulatory measures according to the severity of the situation and the relevant provisions of the Platform, and record it in the seller's credit evaluation.
3. If a dispute arises between the Transaction Parties due to delayed delivery, both parties shall first negotiate to resolve it; if the negotiation fails, either party may apply for Platform mediation, and the Platform will handle it in accordance with these rules and the transaction order agreement.
VI. Supplementary Provisions
1. These rules shall be interpreted by the Platform operator. The Platform has the right to revise these rules in accordance with industry development, policy adjustments, technological upgrades and operational needs. After revision, it will be announced through the Platform's official channels and will take effect automatically after the announcement period expires.
2. Matters not covered by these rules shall be implemented in accordance with the Platform's other relevant rules, the transaction agreements signed by both parties, and the laws and regulations of the countries/regions where the Transaction Parties are located.
3. If the Transaction Parties have any objection to the Platform's supervision and handling results related to on-time delivery, they may apply for re-review through the Platform's official channels and provide relevant supporting materials. The Platform will conduct a re-review and give a reply within the specified time limit.
4. These rules shall take effect from the date of issuance.
